Terms and Conditions — KartaPay

These Terms and Conditions of Use (the "Terms") govern access to and use of the services offered by KartaPay (the "KartaPay Services"), including:
- The Marketplace, accessible exclusively via the mobile application
- The payment gateway, accessible via the website, web dashboard and mobile application
By creating an account or using any of KartaPay's Services, you fully accept these Terms. If you do not accept them, you must refrain from using our Services.
Part 1 — General Provisions
1.1 Definitions
« KartaPay or We »
designates the entity operating the KartaPay Services.
« User or You »
any natural or legal person creating an account or using the KartaPay Services.
« Account »
personal space created by the User to access the Services.
« Services »
set of functionalities offered by KartaPay, including the Gateway and Marketplace.
« Content »
any information, data, text, photo or element published by a User on the Services.
1.2 Purpose
These Terms are intended to define the conditions and methods by which KartaPay makes its Services available, as well as the rights and obligations of the parties in this context.
1.3 Acceptance of Terms
Access to and use of KartaPay Services imply full acceptance of these Terms. This acceptance is demonstrated by creating an account or, failing that, by any actual use of the Services.
1.4 Legal Capacity
Use of KartaPay Services is reserved for persons with the legal capacity to contract. By creating an account, you warrant that you have such capacity, or act with the authorization of your legal representative if you are a minor.
1.5 Account Creation and Management
To access certain features, you must create an account by providing accurate, current and complete information. You are solely responsible for:
- Any activity carried out from your account
- Keeping your personal information up to date
- The confidentiality of your login credentials
You undertake to inform us without delay of any unauthorized use of your account.
1.6 Account Suspension and Termination
KartaPay reserves the right to suspend or terminate an account, without notice, in the event of:
- Breach of these Terms
- Fraudulent, abusive behavior or infringement of a third party's rights
- Provision of false or misleading information
- Use of the Services for illegal purposes
You may at any time request deletion of your account by contacting us at the address indicated at the end of this document.
1.7 Service Availability
KartaPay strives to ensure continuous access to its Services, but does not guarantee uninterrupted availability. Interruptions may occur for maintenance operations, updates or reasons beyond our control. KartaPay cannot be held responsible for the consequences of such interruptions.
1.8 Intellectual Property
All elements making up the KartaPay Services (logo, trademark, interface, code, editorial content) are protected by intellectual property law and remain the exclusive property of KartaPay or its partners. Any unauthorized reproduction, representation or exploitation is strictly prohibited.
1.9 Protection of Personal Data
The processing of your personal data is governed by our Privacy Policy, which is available separately and together with these Terms forms a contractual whole.
1.10 Limitation of Liability
KartaPay makes every effort to ensure the reliability of its Services but cannot be held responsible for:
- Actions or omissions of Users among themselves
- Data loss resulting from force majeure
- Indirect damages resulting from the use of the Services
- Technical failures attributable to third parties (telecommunications operators, payment providers, access providers)
1.11 Modification of Terms
KartaPay reserves the right to modify these Terms at any time. Any substantial modification will be notified to you via the application or by email. Continued use of the Services after notification constitutes acceptance of the modified Terms.
1.12 Applicable Law and Disputes
These Terms are governed by the law applicable in the Comoros. In the event of a dispute, the parties will endeavor to find an amicable solution before any legal action. Failing amicable agreement, the competent courts will be those at the location of KartaPay's registered office.
Part 2 — Specific Conditions for the Payment Gateway
This part applies to all Users of the Gateway, whether they access it via the website, web dashboard or mobile application.
2.1 Service Description
The KartaPay Gateway allows its Users to collect and make payments securely, in particular via:
- A mobile application allowing field collection
- A web dashboard for transaction tracking and management
- Generation of QR Code payments
- Generation of shareable payment links
2.2 Merchant Registration
To use the Gateway, you must provide accurate information allowing your identification (identity, contact details, professional information if applicable). KartaPay reserves the right to carry out checks before fully activating your merchant account.
2.3 Available Payment Methods
Transactions made via the KartaPay Gateway are processed through our authorized payment partners, namely:
- Holo
- MVola Comoros
Use of these payment methods may be subject to additional conditions specific to each partner, which you must also review.
2.4 Fees and Commissions
Use of the Gateway may be subject to transaction fees, the details of which are communicated in your dashboard or upon activation of your merchant account. KartaPay reserves the right to modify its pricing, subject to prior notification.
2.5 Transaction Security
KartaPay implements security measures to prevent fraud and protect transactions. You undertake to:
- Not generate payment links or QR Codes for fictitious or fraudulent transactions
- Not use the Gateway for illegal or fraudulent purposes
- Report any suspicious transaction immediately
2.6 Transaction Disputes
In case of dispute relating to a transaction (payment not received, incorrect amount, etc.), you must contact our support as soon as possible. KartaPay undertakes to examine each claim, without guaranteeing automatic refund, which depends on the conditions specific to each payment partner.
2.7 Liability
KartaPay acts as a technical intermediary between the User and payment partners. KartaPay cannot be held responsible for failures, delays or errors directly attributable to payment partners (Holo, MVola Comoros) or telecommunications operators.
Part 3 — Specific Conditions for the Marketplace
This part applies exclusively to Marketplace Users, accessible via the KartaPay mobile application.
3.1 Service Description
The KartaPay Marketplace allows Users to publish sales listings, view available listings and contact other Users with a view to concluding a transaction.
3.2 Role of KartaPay
KartaPay acts solely as a technical intermediary providing a platform for connecting buyers and sellers. KartaPay is not party to any transaction concluded between Users and cannot be held responsible for the quality, compliance or delivery of goods or services offered in listings.
3.3 Publishing Listings
By publishing a listing, you warrant that:
- The Content published is accurate, complete and does not infringe the rights of a third party
- The good or service offered is legal and complies with these Terms
- The photos used are yours or you have the necessary rights to publish them
- You have the right to sell or offer the good or service in question
3.4 Listing Validation
Any listing published on the Marketplace is subject to prior validation by our moderation team before being made visible. KartaPay reserves the right to refuse, suspend or remove any listing that:
- Contains unlawful, misleading or inappropriate Content
- Does not comply with these Terms
- Relates to a prohibited good or service
This validation process in no way constitutes a guarantee of the quality, authenticity or legality of the good or service offered.
3.5 Prohibited Content and Categories
Listings relating to the following are strictly prohibited:
- Any good or service detrimental to public order or morality
- Counterfeit content
- Illegal goods or services
- Weapons, dangerous or regulated substances
KartaPay reserves the right to immediately delete any listing in breach of this rule and to suspend the account of the User in question.
3.6 Relations Between Users
Exchanges, negotiations and transactions between buyers and sellers take place under their sole responsibility. KartaPay recommends its Users to:
- Prefer secure payment methods offered by KartaPay
- Report any suspicious or fraudulent behavior to our support
- Verify the identity and reliability of their counterpart before any transaction
3.7 Payment of Marketplace Transactions
Transactions resulting from the Marketplace may be settled via payment methods integrated into the application (QR Code, payment link), subject to the Specific Conditions for the Payment Gateway defined in Part 2 of these Terms.
3.8 Reporting and Moderation
You may at any time report a listing or User not complying with these Terms. KartaPay reserves the right to review any report and take appropriate action, including account suspension.
